HECHO RELEVANTE AB-BIOTICS, S.A.

En virtud de lo previsto en el artículo 17 del Reglamento (UE) nº 596/2014 sobre abuso de
mercado y en el artículo 228 del texto refundido de la Ley del Mercado de Valores, aprobado por
el Real Decreto Legislativo 4/2015, de 23 de octubre, y disposiciones concordantes, así como en
la Circular 6/2018 del Mercado Alternativo Bursátil (MAB), se pone a disposición del mercado la
siguiente información relativa a AB-BIOTICS, S.A.:
Tras la celebración en el día de hoy de la Junta General Extraordinaria de Accionistas de AB-
BIOTICS, S.A. en la que se aprobó, entre otros, la exclusión de la totalidad de las acciones de la
Sociedad en el MAB y la realización de la correspondiente oferta de adquisición de acciones por
parte del accionista KANEKA EUROPE HOLDING COMPANY NV (“KANEKA”), se pone a
disposición del mercado el procedimiento sobre la oferta de adquisición de acciones en el marco
de la exclusión de cotización comunicado por KANEKA EUROPE HOLDING COMPANY NV y
aprobado por el Consejo de Administración de la Compañía (por delegación de la Junta y una
vez que ésta ha aprobado los mismos términos y condiciones sustanciales de la Oferta que
fueron puestos a disposición de los accionistas junto con la convocatoria de esta Junta), cuyos
términos se adjuntan al presente Hecho Relevante (en castellano y en inglés). El precio de la
oferta son 5 euros por acción y el plazo para su aceptación comienza el 7 de octubre de 2019 y
termina el 7 de noviembre de 2019.

OFERTA DE ADQUISICIÓN DE ACCIONES EN EL MARCO DE EXCLUSIÓN DE COTIZACIÓN
Según lo anticipado en el anuncio de la oferta pública voluntaria (la “OPA Voluntaria” y el
“Anuncio de OPA Voluntaria”) que Kaneka Europe Holding Company NV (“Kaneka” o el
“Oferente”) lanzó el 9 de julio de 2019 sobre el 100% del capital social de AB-BIOTICS, S.A.
(“ABB”, “AB-Biotics” o la “Sociedad”), y conforme a lo notificado al Consejo de
Administración de la Sociedad en fecha 3 de septiembre de 2019, se publica este anuncio de
oferta de adquisición de acciones que Kaneka lanza sobre el 100% del capital social de AB-
Biotics del que Kaneka aún no es titular (la “Oferta), en el marco de la exclusión de cotización
de las acciones de la sociedad del Mercado Alternativo Bursátil (“MAB”), que ha sido aprobado
en el día de hoy mediante acuerdo de la Junta General de Accionistas de la Sociedad.
Se deja constancia de que los términos de esta Oferta son los ya anticipados por Kaneka al
Consejo de Administración de la Sociedad el día 3 de septiembre de 2019, que a su vez fueron
puestos a disposición de todos los accionistas en esa misma fecha como documento adjunto a
la convocatoria de Junta. Dichos términos de la Oferta, propuestos por el Consejo, han sido
aprobados por la Junta General de Accionistas en el día de hoy, incluyendo el hecho de que sea
Kaneka y no la Sociedad la entidad que realice la Oferta en el marco de la exclusión. Esta Oferta
ha sido también aprobada por el
(a) MARCO DE LA OFERTA
Según lo previsto anteriormente, en el día de hoy, y de acuerdo con la normativa aplicable
y los estatutos de la Sociedad, la Junta General Extraordinaria de Accionistas de la
Sociedad ha resuelto aprobar la exclusión de cotización de la Sociedad y los términos de
esta Oferta.
Esta Oferta se lanza en el marco de lo previsto en el art. 34 de los estatutos sociales, el
apartado 6 de la Circular MAB 2/2018, y el art. 10 del Real Decreto 1066/2007, de 27 de
julio, sobre el régimen de las ofertas públicas de adquisición de valores (el “RD
1066/2007”), una vez la exclusión ha sido ya aprobada, por un precio justo, de forma que
todos los accionistas (es decir, no solo aquellos que no hayan votado a favor de la exclusión,
como se requiere legalmente, sino todos los accionistas), puedan tener la oportunidad de
vender sus acciones al precio ofrecido y evitar permanecer como accionistas de una
sociedad excluida de cotización.
Por la presente confirmamos los motivos por los que Kaneka está interesada en promover
la exclusión de la Sociedad, a cuyos efectos nos remitimos a lo ya previsto en el Anuncio
de la OPA y en los términos de la Oferta publicados el día 3 de septiembre de 2019, y
reiteramos que el proceso aquí descrito cumple con todos los requisitos legales y
estatutarios, según ha revisado y ratificado el Consejo de Administración de la Sociedad
en varias ocasiones.
(b) IDENTIFICACIÓN DE LA SOCIEDAD (“TARGET”)

AB-BIOTICS, S.A. es una sociedad española con domicilio social en Sant Cugat del Vallés
(Barcelona), Avinguda de la Torre Blanca, número 57, edificio Esade-Creápolis, inscrita
en el Registro Mercantil de Barcelona al Tomo 45561, Folio 33 y Hoja B-293983, y
provista del número de identificación fiscal (NIF) A-63497473.
El capital social de AB-Biotics asciende, a la fecha del presente Anuncio, a 629.412,95
euros, representado por 12.588.259 acciones de 0,05 euros de valor nominal cada una, todas
de una única clase, totalmente suscritas y desembolsadas, y representadas por medio de
anotaciones en cuenta.
(c) OFERENTE
Según lo anticipado, será Kaneka (y no la Sociedad), en su propio nombre, el oferente bajo
la Oferta, según este aspecto ha sido aprobado por la Junta General de la Sociedad.
KANEKA EUROPE HOLDING COMPANY NV es una sociedad belga, con domicilio
social en Alma Court, Lenneke Marelaan, 4, Zaventem (Bélgica), constituida el 1 de
octubre de 2015 en virtud de escritura pública otorgada ante el Notario Público Daisy
Dekegel y registrada en Bruselas con el número 0640.747.653, y con número español de
identificación de extranjero (NIE) N0174239D.
El capital social del Oferente asciende a 62.628.935,25 euros, dividido en 3.173.670
acciones totalmente suscritas y desembolsadas. Kaneka es una filial controlada al 100%
por Kaneka Corporation, compañía japonesa cuyas acciones ordinarias cotizan en las
Bolsas de Tokio y Nagoya.
(d) ALCANCE DE LA OFERTA
La Oferta está dirigida a todos los accionistas de AB-Biotics (con excepción del Oferente)
con el fin de adquirir de ellos la totalidad del capital social de la Sociedad que no sea
propiedad del Oferente, antes de que la exclusión sea efectiva. En consecuencia, la Oferta
se dirige al 100% del capital social de AB-Biotics, excluyendo las acciones que
actualmente son titularidad de Kaneka (y no sólo a las acciones titularidad de aquellos
accionistas que no han votado a favor de la exclusión, como estrictamente se requiere
conforme a la normativa de aplicación).
(e) PRECIO DE LA OFERTA
Conforme a lo anticipado en el Anuncio de OPA Voluntaria y en los términos publicados
el 3 de septiembre de 2019, el precio ofrecido por Kaneka bajo la Oferta es el mismo precio
que el ofrecido bajo la OPA Voluntaria, esto es, 5 Euros por acción (el “Precio”).
Según se establecía en el Anuncio de OPA Voluntaria, la intención de Kaneka bajo la OPA
Voluntaria era ya ofrecer un precio que fuera válido a los efectos de exclusión, dada la
intención última de excluir la Sociedad de cotización que se declaraba en dicho anuncio. A
tal efecto, Kaneka encargó una valoración independiente a la firma Crowe Advisory SP,
S.L. (“Crowe”), que estableció un precio de exclusión de 4,305 Euros por acción.

Se informa de que, el 28 de Agosto de 2019, Kaneka ha obtenido un informe actualizado
de Crowe (el “Informe de Valoración de Crowe”) y, asimismo, el Consejo de
Administración de la Sociedad (aquellos miembros no designados por Kaneka), en el
ejercicio de sus deberes de diligencia e independencia, ha obtenido de Ernst & Young
Servicios Corporativos, S.L. (“E&Y”), en fecha 3 de septiembre de 2019, una fairness
opinion e informe de valoración actualizados (conjuntamente, el “Informe de Valoración
de E&Y”) en relación con el Informe de Valoración de Crowe.
Se deja constancia de que tanto el Informe de Valoración de Crowe como el Informe de
Valoración de E&Y confirman que, según lo anticipado, no existe variación significativa
en sus conclusiones acerca del precio válido de exclusión, y por lo tanto el Precio de esta
Oferta puede ser el mismo que aquél ofrecido bajo la OPA Voluntaria, según lo anticipado
previamente en el Anuncio de OPA Voluntaria.
Se pone de manifiesto que, desde la fecha del Informe de Valoración de Crowe y del
Informe de Valoración de E&Y, no se ha producido evento material o extraordinario que
haga que cualquiera de dichas valoraciones hayan quedado desactualizadas o que el Precio
deje de ser válido a los efectos de exclusión. Consideramos que es justo, pensando en todos
aquellos accionistas que ya transmitieron sus acciones bajo el periodo de OPA Voluntaria,
el continuar ofreciendo el mismo Precio, de forma que no existan diferencias entre los
accionistas en un plazo tan breve de tiempo.
Nos remitimos a los previsto en el Anuncio de la OPA y en los términos de la Oferta
publicados el día 3 de septiembre de 2019 respecto de las diferentes primas que el Precio
representa.
Por último, reiteramos que el Precio es válido a los efectos de exclusión, según lo previsto
en el art. 34 de los estatutos sociales, el apartado 6 de la Circular MAB 2/2018, y el art. 10
del RD 1066/2007.
(f) FINANCIACIÓN DE LA OFERTA
El Oferente cuenta con una fuerte posición financiera y hará frente al pago del Precio a
través de financiación externa.
(g) PLAZO PARA LA ACEPTACIÓN DE LA OFERTA
El plazo de aceptación de la Oferta empezará a contar desde el día hábil bursátil siguiente
a la fecha de publicación del presente Anuncio (es decir, el 7 de octubre de 2019), y vencerá
el jueves 7 de noviembre de 2019, a las 23:59 h (CET) (ambos incluidos) (el “Plazo de
Aceptación”).
(h) FORMALIDADES PARA LA ACEPTACIÓN DE ESTA OFERTA
1. Declaraciones de aceptación

Las declaraciones de aceptación de la Oferta por los accionistas de la Sociedad serán
admitidas desde el primer día del Plazo de Aceptación y hasta el último día, ambos
inclusive. Las aceptaciones no serán válidas si estuvieran sometidas a condición y se
considerarán emitidas sobre una base irrevocable, incondicional, firme y vinculante, de
forma que se conviertan en órdenes reales de transferencia de las acciones (con sus
derechos políticos y económicos inherentes) tan pronto como se cierre y liquide la
Oferta.
2. Procedimiento de aceptación
Cualquier accionista de la Sociedad que desee aceptar la Oferta deberá ponerse en
contacto con el banco o entidad financiera en el que estén depositadas sus acciones, y
manifestar por escrito su deseo de aceptar la Oferta.
Los accionistas de AB-Biotics podrán aceptar la Oferta respecto de la totalidad o parte
de las acciones de la Sociedad de las que sean titulares.
Las acciones respecto de las cuales se acepte la Oferta deberán incluir todos los
derechos de voto y económicos inherentes a las mismas. Dichas acciones deberán ser
transmitidas libres de cargas, gravámenes y cualesquiera derechos a favor de terceros
que limiten los derechos políticos o económicos o su libre transmisibilidad, y por
persona legitimada para transmitirlas según los asientos del correspondiente registro
contable, de forma que el Oferente adquiera la propiedad irreivindicable sobre las
mismas.
Las declaraciones de aceptación se acompañarán de la documentación suficiente para
que pueda procederse a la transmisión de dichas acciones y deberán incluir todos los
datos identificativos exigidos por la normativa aplicable a este tipo de operaciones,
incluyendo, a título enunciativo, nombre completo o denominación social, domicilio y
número de identificación fiscal o, en caso de accionistas que no sean residentes en
España y no tengan un número de identificación fiscal español, su número de pasaporte
o de identificación, nacionalidad y domicilio.
Durante el Plazo de Aceptación, la Sociedad de Gestión de los Sistemas de Registro,
Compensación y Liquidación de Valores, S.A.U. (Iberclear), y sus entidades
participantes autorizadas (Entidades Participantes)que reciban declaraciones de
aceptación enviarán diariamente al Oferente, a través del representante que a tal efecto
se designa según se estipula a continuación, la información relativa al número de
acciones incluidas en las declaraciones de aceptación presentadas por los accionistas
de la Sociedad.
El representante designado por Kaneka a tal efecto es Banco Santander, S.A. (el
“Agente”), siendo sus datos de contacto los siguientes:

Asimismo, a todos los efectos oportunos, incluyendo cualesquiera consultas y contactos
sobre la presente Oferta, se hace constar que el Oferente ha designado a EBN Banco de
Negocios, S.A. como su Coordinador Global y Asesor en esta Oferta (el “Coordinador
Global”). En este sentido, los accionistas pueden ponerse en contacto con el
Coordinador Global para formular cualquier pregunta o solicitar la aclaración de
cualquier punto relacionado con la presente Oferta. Los datos de contacto del
Coordinador Global se indican a continuación:

En ningún caso el Oferente aceptará acciones adquiridas con posterioridad al Plazo de
Aceptación. Es decir, aquellas acciones que se ofrezcan en venta deberán haber sido
adquiridas no más tarde del último día del Plazo de Aceptación de la Oferta.
3. Publicación del resultado
Transcurrido el Plazo de Aceptación de la Oferta previsto en el presente Anuncio, el
Agente notificará al Oferente y a AB-Biotics, en un plazo máximo de cinco (5) días
hábiles a contar desde la expiración del Plazo de Aceptación, el total de las aceptaciones
válidamente recibidas durante el Período de Aceptación y, por lo tanto, el resultado de
la Oferta. Este resultado se publicará en la página web del MAB
(www.bolsasymercados.es/mab/esp/MaB/Boletin.aspx) y en la página web de la
Sociedad (http://www.ab-biotics.com).
4. Gestión de la adquisición y liquidación de la Oferta
La adquisición de las acciones será gestionada por el Agente, actuando como
intermediario en la operación de adquisición y liquidación en nombre de Kaneka.
El Precio de la Oferta se liquidará y pagará a más tardar el octavo (8º) día hábil bursátil
siguiente a la finalización del Plazo de Aceptación (la "Fecha de Pago"), de acuerdo
con el procedimiento establecido al efecto en la norma 11 de la Circular 7/2017 del
MAB sobre Normas de contratación de acciones de Empresas en Expansión y de
Sociedades Anónimas Cotizadas de Inversión en el Mercado Inmobiliario (SOCIMI) a
través del MAB.
(i) COSTES RELACIONADOS CON LA ACEPTACIÓN Y LIQUIDACIÓN DE LA OFERTA
El Oferente asumirá los gastos originados por la tramitación de la Oferta y los que, en
relación con su liquidación, correspondan al Oferente de acuerdo con las normas
reguladoras establecidas por el MAB. En ningún caso el Oferente será responsable ni
asumirá las comisiones y/o gastos que las entidades depositarias de las acciones puedan

cobrar a sus clientes (accionistas aceptantes) por la tramitación de las declaraciones de
aceptación de la Oferta.
Cualesquiera otros gastos no indicados en el párrafo anterior serán sufragados por quien
incurra en ellos.
Los accionistas de la Sociedad serán los responsables de obtener el asesoramiento adecuado
sobre el importe exacto de los gastos que deberán satisfacer en caso de aceptación de la
Oferta.
OFFER FOR THE ACQUISITION OF SHARES IN THE CONTEXT OF DELISTING
As anticipated in the announcement of the voluntary public offer (the “Voluntary TOB” and
the “Voluntary TOB Announcement”) that Kaneka Europe Holding Company NV
(“Kaneka” or the “Offeror”) launched on July 9, 2019, over 100% of the share capital of
AB-BIOTICS, S.A. (“ABB”, “AB-Biotics” or the “Company”), and as notified to the Board
of Directors of the Company on 3 September 2019, this announcement of an offer that
Kaneka is launching over the 100% of the share capital of AB-Biotics of which Kaneka is not
the owner (the “Offer”) is published, in the context of the the delisting of the Company’s
shares from the Spanish Multilateral Trading Facility (“Mercado Alternativo Bursatil” –the
“MAB”-), which has been approved on the date hereof by virtue of a resolution passed by the
General Shareholders’ Meeting of the Company.
It is stated that the terms of this Offer are those already anticipated by Kaneka to the Board of
Directors of the Company on 3 September 2019, which were made available to all the
shareholders on the same date as an attachment to the call notice of the General Shareholders’
Meeting. These terms of the Offer, as proposed by the Board, have been approved by the
General Shareholders’ Meeting on the date hereof, including the fact that it is Kaneka and not
the Company the entity launching the Offer in the context of the delisting,
(a) CONTEXT OF THE OFFER
As mentioned above, on the date hereof, in accordance with applicable law and by-laws,
the Extraordinary General Shareholders’ Meeting of the Company has resolved to
approve the delisting of the Company and the terms of this Offer.
This Offer is launched pursuant to the provisions in art. 34 of the by-laws, section 6 of
MAB’s Circular 2/2018, and art. 10 of Spanish Royal Decree on Takeover Bids (Real
Decreto 1066/2007, de 27 de julio, sobre el régimen de las ofertas públicas de
adquisición de valores) (the “RD 1066/2007”), now that the delisting has been approved,
at a fair delisting value which fulfils all legal requirements, so that all the shareholders
(i.e. not only those who have not voted in favour of the delisting, as strictly required by
law, but all of them) may have the opportunity to sell their shares at the offered price and
avoid remaining as shareholders of a delisted company.
We hereby confirm the reasons why Kaneka is interested in promoting the delisting of the
Company, to which effects we refer to the contents of the Voluntary TOB Announcement
and the terms of the Offer already published on 3 September 2019.
We hereby reiterate that the process described hereto complies with all legal provisions
and regulations under the Company’s by-laws, as this has been also reviewed and ratified
by the Board of Directors of the Company on several occasions.
(b) IDENTIFICATION OF THE (TARGET) COMPANY
AB-BIOTICS, S.A. is a Spanish company with registered address at the Esade Creapolis
Building, Av. de la Torre Blanca, 57, St. Cugat del Vallès (Barcelona), registered with the
Commercial Registry of Barcelona under Volume 45561, Page 33 and Sheet B-293983,
and provided with Spanish Tax Identification Number (NIF) A-63497473.
The share capital of AB-Biotics amounts, on the date hereof, to 629,412.95 Euros, being
represented by 12,588,259 shares of 0.05 euros of nominal value each, of a sole class,
fully subscribed and disbursed, and represented by book entries.
(c) OFFEROR
As anticipated, it is Kaneka (and not the Company) the offeror issuing this Offer, as this
point has been approved by the General Shareholders’ Meeting.
KANEKA EUROPE HOLDING COMPANY NV is a Belgian company, with registered
address at Alma Court, Lenneke Marelaan, 4, Zaventem (Belgium), incorporated on
October 1st, 2015 by virtue of a public deed granted in front of the Notary Public Daisy
Dekegel and registered in Brussels under number 0640.747.653, and with Spanish
Foreigners Identification Number (NIE) N0174239D.
The share capital of the Offeror amounts up to 62,628,935.25 Euros divided into
3,173,670 shares, fully subscribed and disbursed. Kaneka is a subsidiary 100% controlled
by Kaneka Corporation, a Japanese company which common stock is traded on Tokyo’s
and Nagoya’s Stock Exchanges.
(d) SCOPE OF THE OFFER
The Offer is addressed to all shareholders of AB-Biotics (other than Kaneka) in order to
acquire from them all the outstanding share capital of the Company not already owned by
Kaneka, before delisting is effective. Consequently, the Offer targets 100% of the share
capital of AB-Biotics not currently owned by Kaneka (and not only the shares held by
those shareholders who have not voted in favour of delisting, as strictly required under
applicable regulations).
(e) PRICE UNDER THE OFFER
As anticipated in the Voluntary TOB Announcement and within the terms of the Offer
published on 3 September 2019, the price offered by Kaneka under this Offer is the same
price offered under the Voluntary TOB, this is Eur 5.00 per share (the “Price”).
As set out in the Voluntary TOB Announcement, Kaneka’s intention under the Voluntary
TOB was to already offer a price which was valid for delisting effects, given the ultimate
intention to delist anticipated thereto. For that purpose, Kaneka engaged the independent
appraisal firm Crowe Advisory SP, S.L. (“Crowe”), who set out a fair delisting price
(complying with all legal requirements) of Eur 4.305 per share.
Please be informed that, on 28 August 2019, Kaneka has obtained an update of Crowe’s
report (the “Crowe Valuation Report”), and the Board of Directors of the Company (i.e.
excluding those members designated by Kaneka), in the exercise of its diligence and
independence duties, has obtained from Ernst & Young Servicios Corporativos, S.L.
(“E&Y”) an updated fairness opinion about the Crowe Valuation Report and an updated
valuation report (jointly, the “E&Y Valuation Report”).
It is stated that both the Crowe Valuation Report and the E&Y Valuation Report confirm
that, as anticipated, there is no significant variation on their conclusions about the fair
delisting value, and thus the Price can be the same as that offered under the Voluntary
TOB, as previously anticipated in the Voluntary TOB Announcement.
It is also stated that, as from the date of the Crowe Valuation Report and the E&Y
Valuation Report, there has been no material or extraordinary event that may make those
valuations or the Price become out of date or invalid for the purpose of delisting. Thus,
we consider that it is fair, thinking on all those shareholders who already sold their shares
under the Voluntary TOB, to continue offering the same Price, so that there are no
differences amongst shareholders in such a short period.
We refer to our Voluntary TOB Announcement and the terms of the Offer published on 3
September 2019 in respect of the different premiums that this Price represents.
Finally, we hereby reiterate that the Price is valid to the effects of delisting, pursuant to
art. 34 of the by-laws, section 6 of MAB’s Circular 2/2018, and art. 10 of RD 1066/2007.
(f) FUNDING OF THE OFFER
The Offeror holds a strong financial position and will meet the payment of the Offer Price
with funds obtained from external financing.
(g) OFFER ACCEPTANCE PERIOD
The period for the acceptance of this Offer will start to count from the stock market
business day following the date of publication of this Announcement (this is, on 7
October 2019) and will expire on (Thursday) 7 November 2019 at 23:59 h (CET) (the
“Acceptance Period”).
(h) FORMALITIES FOR THE ACCEPTANCE OF THE OFFER
1. Acceptance declarations
Declarations of acceptance of the Offer by shareholders of the Company will be
admitted from the first day of the Acceptance Period and until the last day, both
inclusive. Acceptances will not be valid if they are subject to any condition and will be
deemed issued on irrevocable, unconditional, firm and binding basis, so that they
become actual orders to transfer the shares (with their inherent political and economic
rights) as soon as the Offer is closed and settled.
2. Acceptance procedure
Any shareholder of the Company willing to accept the Offer must contact the bank or
financial entity with which their shares are deposited, and state in writing their wish to
accept the Offer.
AB-Biotics’ shareholders may accept the Offer with respect of all or part of the
Company’s shares held by them.
The shares with respect to which the Offer is accepted must include all the voting
rights and economic rights attached thereto. These shares must be transferred free of
charges, encumbrances and any rights in favour of third parties which may limit the
voting rights or economic rights or their free transferability, and shall be transferred by
an authorised signatory, in such a way that the Offeror acquires full, unrestricted and
non‐contestable ownership of the shares.
The declarations of acceptance shall be accompanied by sufficient documentation to
enable the shares to be transferred, and must include all the identification data required
by the applicable regulations for this type of transactions, including, but not limited to,
the full name or company name of the shareholder, its address and tax number or, in
the case of shareholders who are not resident in Spain and do not have a tax number,
its passport number or identity card number, nationality and address.
During the Acceptance Period, the Sociedad de Gestión de los Sistemas de Registro,
Compensación y Liquidación de Valores, S.A.U. (Iberclear), and their authorised
participant entities (Entidades Participantes) receiving acceptance declarations will
dispatch on a daily basis with the Offeror, through the representative designated for
this purpose as stipulated below, on information concerning the number of shares
included in the declarations of acceptance submitted by the Company’s shareholders.
The representative designated by Kaneka for this purpose is Banco Santander, S.A.

Likewise, to all relevant effects, including consultation and contacts about this Offer,
it is stated that the Offeror has appointed EBN Banco de Negocios, S.A. as its Global
Coordinator and Advisor on this Offer (the “Global Coordinator”). Shareholders can
contact the Global Coordinator in order to ask any questions or clarify any points

Under no circumstances will the Offeror accept shares acquired after the Acceptance
Period. In other words, any shares offered for sale must have been acquired by the
accepting shareholder no later than the last day of the Acceptance Period.
3. Publication of the outcome
Following expiry of the Acceptance Period, the Agent will notify the Offeror and AB-
Biotics, within a maximum of five (5) trading days after the expiry of the Acceptance
Period, about the total acceptances validly received during the Acceptance Period
and, therefore, about the outcome of the Offer. The outcome of the Offer will be
published on the MAB’s website
(www.bolsasymercados.es/mab/esp/MaB/Boletin.aspx) and on the website of the
Company (http://www.ab-biotics.com).
4. Management of the acquisition and settlement of the Offer
Acquisition of the shares will be managed by the Agent, acting as intermediary in the
acquisition and settlement operation on behalf of Kaneka.
The price of the shares will be settled and paid no later than the eighth (8th) trading
day after the expiry of the Acceptance Period (the “Payment Date”), in accordance
with the procedure established to this end on regulation 11 of MAB’s Circular 7/2017
(“Normas de contratación de acciones de Empresas en Expansión y de Sociedades
Anónimas Cotizadas de Inversión en el Mercado Inmobiliario (SOCIMI) a través del
Mercado Alternativo Bursátil”).
(i) FORMALITIES FOR THE ACCEPTANCE OF THE OFFER
The Offeror will bear the expenses originated by the processing of the Offer and those
that, in relation to its settlement, correspond to the Offeror in accordance with the
regulatory rules set out by MAB. In no case shall the Offeror be responsible nor bear the
commissions and/or expenses that the depository entities of the shares may charge their
clients (accepting shareholders) for the processing of the declarations of acceptance of the
Offer.
Any other expenses other than those previously outlined will be borne by whoever incurs
in them.
The shareholders of the Company shall seek proper advice on the exact amount of the
expenses that they will have to satisfy in case of acceptance of the Offer.
